USP & TNT Merger * Europe - Court says the European Commission infringed on UPS’s right of defense

* Belgium - Merger in 2013 on procedural missteps

--- The European Union’s second-highest court on Tuesday annulled a 2013 decision by the bloc’s antitrust watchdog to block United Parcel Service Inc.’s $7 billion bid for Dutch parcel-delivery company TNT Express NV on the basis of procedural missteps by the regulator... The general court of the EU said the European Commission had made “non-negligible changes” to the economic analyses previously discussed with UPS but didn’t... American UPS agreed to buy Dutch delivery group TNT Express for €5bn in 2012. After an in-depth probe, then-Competition Commissioner, Joaquín Almunia, blocked the merger in January 2013, citing concerns the deal would have ‘drastically reduced choice’ and likely increase prices for small-parcel delivery in the EU... But the General Court of the EU has now found that the European Commission “infringed UPS’ rights of defence” by basing its final decision on an econometric analysis that had changed from the one discussed with UPS during the process... It is unusual for the bloc's top courts to overturn decisions by the bloc's executive, the European Commission. However, in antitrust cases, the court generally overturns commission decisions primarily on the basis of procedural irregularities...

TNT Express merger with FedEx aproved * Brazil

* Tennessee - FedEx, TNT win approval for merger

-- FedEx's $4.8 billion takeover of TNT Express has cleared another hurdle, winning unconditional approval from authorities in Brazil, the companies said Feb. 2. The approval leaves a short list of countries, including China, where the companies are still pursuing clearance. The deal is expected to close in the first half of 2016 and make FedEx a larger player in the European parcel delivery market. The European Union approved the deal in January and the companies have continued to seek competitive clearance in other countries in TNT's network ...

The late summer credit crisis dramatically reduced the number of mergers and acquisitions proposed for big transportation and logistics companies in the third quarter

Washington,DC,USA -Traffic World, by William Hoffman -11 Nov 2008: -- In the USA ... Only one of 14 deals worth more than $1 billion so far this year was proposed in the third quarter, according to the accounting firm’s quarterly “Intersections” analysis... Altogether, 37 deals were announced for the third quarter, for a total of 125 so far this year. That puts 2008 on track to fall short of the 193 deals announced in 2007... Total value of large deals for the first nine months of 2008 hit $66 billion, compared with 16 $1 billion-plus deals worth $81 billion throughout 2007, and 20 large deals worth $161 billion in 2006... Deal-making outside the United States also slowed. Financial investors pulled back in the third quarter compared with strategic investors... Deals involving targets in Asia and Oceania continued to attract investors, with Chinese acquisitions the most popular. But activity slowed in Europe...

* Houston,TX - 25 Sept: Alexander & Baldwin, Inc. has acquired Republic Distribution Center. Republic is an approximately 300,000 sq. ft. industrial facility near the Port of Houston's two major container terminals. Terms were not disclosed.

* Ohio - 21 July: - Genesee & Wyoming Inc., announced the pending acquisition of Ohio Central Railroad System, Inc. The Ohio Central operates almost 500 miles of railroad throughout East Central and North Eastern Ohio and in the Pittsburgh, PA area. Terms were not disclosed.

* South Korea - 28 July - Nexcon Technology Co. Ltd. announced the pending acquisition of Daesung Logistics Co., Ltd. Based in Seoul, South Korea, Daesung Logistics offers import and export services, as well as air/marine customs clearance services. Daesung Logistics had TTM revenue of $9.6 million.

* France - 28 July: - Groupe Nasse has acquired 55% of Euroflash. Based in Paris, France, Euroflash is a portfolio company of Croissance Discovery, FCPR, Pragma Capital, Winch Capital, and Pragma II. Euroflash provides packaging, relocation and transportation services. Terms were not disclosed.
