MERGERS - JAPAN - TOYOTA plans poison pill
Tokyo,Japan -UK/Auto Industry -8 Jun 2005: -- Toyota Motor, the world's biggest vehicle manufacturer by market value, plans to propose a poison pill and other counter-measures against potential future hostile takeover bids at a shareholders’ meeting, according to a Kyodo News agency report, quoting unnamed Toyota executives... Such a move would respond to pending changes to Japanese corporate law originally intended to make corporate mergers and acquisitions easier. The new law, now subject to parliamentary deliberations, would allow foreign companies to use equity swaps to take over Japanese firms from 2007...
